FLUXDERIVE TERMS OF SERVICE

Effective Date: April 5, 2026

This Agreement ("Terms") is a legally binding contract between Fluxderive Technologies, a business operating under Fluxnova Technologies LTD, registered in Nigeria, By creating an account or using the Fluxderive platform ("Services"), you agree to these Terms. If you do not agree, you must not use the Services.


1. Eligibility

You must:

  • Be at least 18 years old
  • Provide accurate, complete, and current information
  • Comply with Nigerian laws and regulations

Accounts failing these requirements may be suspended or terminated.


2. Services Provided

Fluxderive offers:

  • Digital Wallet Storage (store value in Naira)
  • Bank Transfers (via partner banks and PSPs: PalmPay, 9PSB, Paystack)
  • Bill Payments (electricity, data, etc.)
  • QR Code Payments (coming soon)
  • Crypto Services (crypto-to-fiat conversion)

We may modify, suspend, or discontinue services at any time without prior notice.


3. Account Registration & Security

  • You are responsible for maintaining the confidentiality of your login credentials.
  • All activity under your account is your responsibility.
  • Notify us immediately of unauthorized access.
  • Fluxderive may request KYC verification, including government ID, proof of address, or additional documentation.

4. Transactions

  • Transactions are final once confirmed.
  • You must verify recipient details before authorizing transfers.
  • Fluxderive is not liable for errors caused by incorrect user information.
  • Applicable fees will be displayed prior to each transaction.

5. Prohibited Activities

You must not use our Services for:

  • Fraud, money laundering, or illegal activity
  • Unauthorized financial services
  • Abuse of the platform, including bot attacks or hacking

Violation may result in suspension or permanent ban.


6. Account Closure

You may request account closure at any time. By doing so, you agree to the following:

6.1 Permanent Deactivation

  • Your account will be deactivated permanently.
  • You will lose access to all services.

6.2 Balance Settlement

  • Remaining wallet balance will be returned to your designated bank account or wallet within 7 working days.

6.3 No Reactivation

  • Closed accounts cannot be reopened.

6.4 Data Retention

  • We may retain your personal and transaction data for:
  • Regulatory compliance (CBN, NDPR, tax, etc.)
  • Fraud prevention and investigations
  • Accounting and auditing
  • Retained data will not be used for marketing purposes.
  • Data will be stored securely and accessed only when required.

7. Privacy

Use of the Services is also governed by our Privacy Policy, available at /privacy, which describes how we collect, store, and use your data.


8. Fees & Charges

  • Fees for services will be disclosed before transaction confirmation.
  • You are responsible for all applicable transaction fees, taxes, and other charges.

9. Limitation of Liability

  • To the maximum extent allowed by law, Fluxderive is not liable for indirect, incidental, or consequential damages.
  • We are not responsible for losses caused by:
  • User errors
  • Third-party integrations (banks, crypto exchanges)
  • Network, system, or service downtime

10. Indemnification

You agree to indemnify and hold Fluxderive harmless from any claims, damages, or losses resulting from:

  • Your use of the Services
  • Your violation of these Terms
  • Violation of any applicable law

11. Regulatory Compliance

Fluxderive complies with all applicable Nigerian financial regulations, including:

  • CBN regulations
  • Anti-Money Laundering (AML) / Combating the Financing of Terrorism (CFT)
  • NDPR data protection

You agree to cooperate with investigations or requests related to regulatory obligations.


12. Modifications to Terms

We may modify these Terms at any time. Continued use of the platform constitutes acceptance of updated Terms.


13. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the Federal Republic of Nigeria.
  • Any dispute will be resolved in the courts of Edo State, Nigeria, or through arbitration as agreed.
